
AI Financial sells Canadian arm to Prime Delta after Perpetuals deal collapses
AI Financial Corp has sold its Canadian unit to Prime Delta weeks after a previous buyer backed out.
AI Financial Corp, a fintech firm closely tied to the Trump family-backed crypto venture World Liberty Financial, has sold its Canadian subsidiary to New York-based Prime Delta. The sale comes just weeks after another fintech company, Perpetuals.com, abandoned its own plans to acquire the business.
Under the terms of the deal, AI Financial will receive a $12 million secured promissory note, with $1 million due next week and the remainder paid out over time. The company will also receive approximately 11.6 million shares of Prime Delta stock, according to a Friday SEC filing.
The filing did not explain the rationale behind the sale. Neither AI Financial — formerly known as ALT5 Sigma — nor Prime Delta responded to requests for comment outside regular business hours.
Prime Delta describes itself as a financial services firm focused on credit intermediation and strategic financial advisory.
The sale of ALT5 Sigma Canada follows a turbulent period for the parent company. Last August, World Liberty Financial partnered with ALT5 Sigma, which raised $750 million by issuing new shares and used $717 million of those proceeds to purchase World Liberty tokens. That arrangement channeled more than $500 million to the Trump family, based on their revenue-sharing agreement with World Liberty Financial.
Perpetuals.com had earlier agreed to buy the Canadian unit but walked away from the deal roughly three weeks ago without providing a reason.
