Anthropic IPO Prospectus Lays Out Board and Leadership Team

Anthropic has disclosed the composition of its board and senior leadership in its IPO prospectus, as the artificial intelligence company positions itself to reach public markets ahead of rival OpenAI.

The filing arrives amid a recovery in the US IPO market, which has been buoyed by strong investor appetite for AI-related listings. The offering of Elon Musk's SpaceX earlier this year ranked among the most prominent debuts in that rebound.

At the top of the company are co-founders Dario Amodei, who serves as chief executive and a director, and Daniela Amodei, who is president and chairperson of the board. Both joined in 2021. Dario Amodei previously served as vice president of research at OpenAI, leaving in 2020, and was a senior research scientist at Google until 2016. Daniela Amodei, who departed OpenAI alongside her brother, was previously vice president of safety and policy there and headed risk operations at Stripe until 2018.

Other co-founders include Jared Kaplan, the chief science officer, who was a research consultant at OpenAI until 2020 and has been a professor at Johns Hopkins University since 2012, and Sam McCandlish, the chief architect, who was a member of technical staff at OpenAI until 2020.

The executive team also includes Krishna Rao, who became chief financial officer in 2024 after serving as CFO at Fanatics Commerce until that year and as global head of corporate and business development at Airbnb until 2021. Rahul Patil took over as chief technology officer in 2025, having previously been CTO at Stripe and senior vice president of cloud infrastructure at Oracle until 2020.

Paul Smith is chief commercial officer, joining in 2025 after serving as a special advisor at ServiceNow. Chris Ciauri is managing director of international, also appointed in 2025, following his role as CEO of Unily and earlier as president of EMEA at Google Cloud until 2021.

The board includes Chris Liddell, a former Microsoft CFO and deputy White House chief of staff during President Trump's first term, and Vas Narasimhan, the current CEO of Novartis, both listed with 2026 join dates. Yasmin Razavi, a general partner at Spark Capital, which has invested in Anthropic, has been a board member since 2023, while Reed Hastings, chairman and co-founder of Netflix, joined in 2025.

Anthropic also lists trustees who balance its goals as a public benefit corporation. Neil Buddy Shah, chair of the LTBT and a trustee since 2023, is CEO of the Clinton Health Access Initiative. Richard Fontaine, a trustee since 2025, is CEO of the Center for a New American Security. Ben Bernanke, a former Federal Reserve chairman and Brookings Institution fellow, is listed as a trustee with a 2026 join date.
