TPG Global proposes A$657.8 million takeover of EQT Holdings

TPG Global's non-binding A$24.55/share bid values EQT at A$657.8 million, pending due diligence and board recommendation.

Australian investment manager EQT Holdings has confirmed receiving a takeover proposal from US-based brokerage TPG Global, LLC. The indicative, non-binding offer values the company at approximately A$657.8 million.

Under the terms, TPG has proposed an indicative cash price of A$24.55 per share. This represents a 41.8% premium over EQT's closing price on the preceding Monday. TPG has requested an exclusivity period to conduct due diligence.

The proposal remains subject to several conditions, including approval from TPG's Investment Review Committee and a formal recommendation from the EQT board.

The announcement arrives as EQT continues to restructure its operations. The firm has reiterated its decision to exit the independent superannuation trusteeship business through its Equity Trustees Superannuation unit.

This exit comes amid regulatory pressure. EQT is currently defending a lawsuit filed by the Australian Securities and Investments Commission, which alleges the superannuation unit failed to obtain key information about the now-defunct First Guardian Master Fund before permitting member investments.

EQT has indicated it will provide details on the potential capital and funding implications of the exit when it reports its annual results on August 20.
