Australian wagering and gaming company Tabcorp has entered into a binding agreement to acquire BetMakers Technology, a wagering technology firm, in a deal valued at approximately A$267 million (US$188.66 million).
Under the terms of the agreement, Tabcorp will pay A$0.24 per BetMakers share, representing a 45.5% premium over BetMakers' closing share price on Friday. BetMakers' board has unanimously recommended that shareholders vote in favour of the transaction. Tabcorp stated that the acquisition would support the modernisation of its wagering technology platform, help expand its international business, and improve operational efficiency. The company expects the deal to be earnings per share (EPS) accretive from the second year of ownership, with double-digit EPS accretion expected from the third year.
BetMakers shareholders will have the option to elect to receive part of their consideration in Tabcorp shares, subject to a cap of 25% of the total transaction consideration. The parties are targeting implementation of the transaction during the third quarter of fiscal 2027.
